What you're coming to do with us
You are the legal expert who lets Vooban sign fast, without signing just anything. Rather than spending your days copying clauses, you let AI prepare the first draft and you put your energy where your judgment matters. A sale closes and the client's contract arrives: you do the redline, you lead rounds 1 and 2 of negotiation directly with the client, and you come back to the team with a clear recommendation. You spot an intellectual property clause that exposes our deliverables, and you renegotiate it before it becomes a problem. Day to day, you work with project managers and management, and you bridge what the client is asking for and what Vooban can sign with full confidence.
Your playing field is broad: MSAs, NDAs, SaaS terms of use, licenses, partnerships and leases. You do about 90% of the legal work yourself, with an external law firm for the most specialized files. No one dictates your priorities: you manage your contract queue and you decide when an issue needs to be escalated to management. It's a role made for people who like to make the call and who can tell a real risk from a clause that just looks scary. And since we're AI-first, you have the rare opportunity to reinvent the practice of law, with redline tools already in place and a mandate to go further.
What you'll drive with us
- Client contracts. You review, draft and negotiate our MSAs and our co-workshop contracts, directly in the redline, following Vooban's guidelines.
- Lawyer-to-lawyer negotiation. You lead rounds 1 and 2 autonomously with clients' legal teams, and you know when to hold your ground and when to give way.
- Intellectual property and confidentiality. You draft and negotiate NDAs, and you protect the intellectual property of Vooban and its clients in every agreement.
- SaaS products. You draft the terms of use for our products and keep them up to date.
- Business agreements. Partnerships, licenses, leases: you take charge of the agreements that structure our business relationships.
- Risk assessment. You separate legal risk from the business decision and you flag to management the issues it needs to decide on.
- Law with AI. You evolve our redline tools and invent new ways of drafting with AI, always with human review.
Your profile
- Bachelor's degree in law (LL.B.).
- 5 to 10 years of experience in commercial law, including real practice in reviewing and negotiating service contracts.
- You've done this work before: redlining, negotiation rounds and risk trade-offs are familiar to you.
- Presence and poise when facing clients' lawyers.
- Bilingualism in French and English, spoken and written: mandatory.
- A genuine curiosity about AI and a desire to integrate it into your practice.
- Member of the Barreau du Québec (an asset).
- Experience with American contracts (an asset).
- Knowledge of labour law, including in other jurisdictions (an asset).
